Sanxun Holdings Group Limited disclosed that GenNex Financial Media Limited filed a winding-up petition against the company on 25 August 2026 with the Court of First Instance of the High Court of Hong Kong (Companies Winding-up Proceedings No. 671 of 2026). The petition, linked to judgment DCCJ 1722/2025, is scheduled for hearing on 5 November 2026.

Under section 182 of the Companies (Winding Up and Miscellaneous Provisions) Ordinance, any disposal of company property or transfer of shares after the commencement of winding-up proceedings is void unless validated by the court. Hong Kong Securities Clearing Company Limited (HKSCC) has reminded market participants that, in the absence of a court validation order, post-petition share transfers may be void and CCASS services for Sanxun shares could be suspended.

The board is seeking legal advice on potential responses, including whether to apply for a validation order, but warns there is no assurance such an order will be granted. As at the announcement date, management states the petition has not had a material impact on the group’s operations or financial position.

Trading in Sanxun Holdings’ shares has been suspended since 9:00 a.m. on 1 April 2025 and will remain halted until resumption conditions imposed by the Hong Kong Stock Exchange are fulfilled. Shareholders are advised to consider the heightened risk that share transfers may be voided if a winding-up order is ultimately made without a validation order.
