Bairong AI-W Buys Back 0.62 Million Class B Shares, Lifts Treasury Stock to 22.55 Million Units

Bairong AI-W (Bairong AI Inc.), a Cayman-incorporated company with weighted voting rights listed on the Hong Kong Stock Exchange, disclosed a fresh on-market share repurchase executed on 2 September 2026.

The company acquired 616,500 Class B WVR ordinary shares at prices ranging from HKD 5.315 to HKD 5.49, translating into a volume-weighted average cost of HKD 5.3872 per share. Aggregate consideration amounted to HKD 3.32 million.

Prior to the transaction, Bairong AI-W had 373.48 million issued shares (excluding treasury shares) and 21.93 million treasury shares. Post-repurchase, outstanding shares decreased by 0.14 % to 372.86 million, while treasury shares rose to 22.55 million. The total issued share count remained unchanged at 395.41 million.

The buyback was executed under the repurchase mandate approved on 30 June 2026, which authorises the company to repurchase up to 44.99 million shares. Cumulative repurchases under this mandate now stand at 4.40 million shares, equivalent to 0.98 % of the share capital outstanding on the mandate’s approval date.

All repurchased shares have been retained as treasury shares; none have been cancelled. In line with Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 2 October 2026.
